Contractor Agreement
Effective date: July 1, 2024
1. About This Agreement
This Contractor Agreement (“Agreement”) is between SageHomes Inc. (“SageHomes,” “we,” “us,” or “our”) and you, the individual or business entity registering as a contractor on the SageHomes platform (“Contractor”). By creating a contractor account, you accept and agree to be bound by this Agreement.
2. Marketplace Role — Not an Employer
SageHomes operates exclusively as a neutral marketplace that connects homeowners with independent contractors. SageHomes is not your employer, general contractor, or agent. You are an independent business operating under your own legal authority.
- SageHomes does not perform, supervise, or guarantee any home services.
- All work is performed directly between the Contractor and the homeowner under a separate agreement.
- SageHomes has no liability for the quality, safety, or completion of work performed by any Contractor.
3. Contractor Obligations
By using the SageHomes platform, you agree to:
- Maintain all required business licences, permits, and insurance required by Manitoba law and any applicable municipal regulations.
- Provide accurate, current, and truthful information on your profile.
- Respond to homeowner opportunities within a reasonable timeframe.
- Conduct all work in a professional, legal, and workmanlike manner.
- Not solicit homeowners to transact outside the SageHomes platform with the intent to circumvent SageHomes’s role.
- Comply with all applicable laws, including consumer protection and privacy legislation.
4. Profile Approval
All contractor profiles are subject to review and approval by SageHomes. We reserve the right to reject, suspend, or remove any contractor account at our discretion, including for violations of this Agreement, complaints from homeowners, or any conduct we deem harmful to the SageHomes community.
5. Platform Fees
SageHomes is currently free to use for contractors during our launch period. We reserve the right to introduce fees in the future with reasonable advance notice. Continued use after any fee change constitutes acceptance of the updated terms.
6. Intellectual Property
By uploading a logo, portfolio photos, or business description, you grant SageHomes a non-exclusive, royalty-free licence to display that content on the SageHomes platform, including for promotional purposes. You retain ownership of all content you upload.
7. Limitation of Liability
To the maximum extent permitted by applicable law, SageHomes is not liable for any damages arising from your use of the platform, including disputes with homeowners, loss of business, or any indirect or consequential loss. Our aggregate liability to you shall not exceed the fees paid by you to SageHomes in the three months preceding any claim.
8. Governing Law
This Agreement is governed by the laws of the Province of Manitoba and the federal laws of Canada applicable therein. Any disputes arising under this Agreement will be subject to the exclusive jurisdiction of the courts of Manitoba.
9. Changes to This Agreement
We may update this Agreement from time to time. We will notify registered contractors by email. Continued use of the platform after changes take effect constitutes acceptance of the updated Agreement.
